KFC-operator Devyani International to acquire 80.72% stake in Sky Gate

In a strategic movement, Devyani International Ltd. (Dil), the leading KFC and Pizza Hut Stores franchise in India, has decided to acquire a controlling participation in Sky Gate Hospitality Private Limited along with its three brands that include ‘Biryani per kilo’, ‘Goila’. Dil said this will strengthen its presence in the Indian cuisine segment with an approach to the “House of Brand” strategy.

According to its regulatory presentation, Dil is acquiring up to 80.72 percent capital participation, in a fully diluted base, in Sky Gate and their subsidiaries of existing promoters and investors and this transaction will be completed within a period of 15 days from the date of approval of the shareholders, in the form of a special resolution for the preferential issue of the actions of the equity.

“The payable consideration for sellers is ₹ 419.6 million rupees for the acquisition of up to 80.72 percent of capital participation, in a fully diluted base, in Sky Gate. The company will download the consideration of the party through the issuance and allocation of 2,37,19,187 capital shares of the company that has a facial value of ° 1 176. ₹ 175.78), In a preferential and remaining base towards taxes/adjustments they will be paid holy.
